These terms govern the use of Rendezvix, by account holders as well as by people who book appointments.
1. Acceptance
By creating an account, booking an appointment through a Rendezvix page or using the service, you accept these terms and our privacy policy. If you use Rendezvix on behalf of an organization, you confirm that you have the authority to bind it. If you do not agree, do not use the service.
2. The service
Exode Immigration Canada (“we”) provides Rendezvix, an online service that allows professionals and organizations (“account holders”) to publish booking pages, manage their availability, receive appointments, session registrations and payments, and connect other tools (calendars, video conferencing, payment, SMS, Zapier, Make, Slack, Teams, HubSpot, Salesforce, Pipedrive, Mailchimp, Google Analytics, Meta Pixel). We may improve, change or withdraw features; in the event of a significant withdrawal, we will give you advance notice where possible.
3. Your account
- You must be 18 or older, or act for an organization.
- The information given at sign-up must be accurate and up to date.
- You are responsible for the confidentiality of your password and for everything done with your account, including by team members to whom you give access.
- You can sign up and sign in with email and password, or with Google or Facebook. Google and Facebook sign-in is used only to identify you (email, name, profile photo), as described in the privacy policy.
- Notify us without delay if you suspect unauthorized access.
4. Plans, free trial and payment
- Free trial. A new account may benefit from a 14-day free trial, without a credit card. At the end of the trial, you must choose a paid plan to keep the paid features. An account whose subscription has ended is suspended after a short grace period; your data is kept and the service resumes as soon as payment is made.
- Prices. Plans, their per-user prices (monthly or annual) and their limits are shown on the Pricing page and in Subscription. Prices are before tax; GST and QST, or the taxes applicable in your region, are added. We may change prices; the new price applies from the following period, after at least 30 days’ notice.
- Payment. You pay in advance for the chosen period, by the means offered (credit card, PayPal, or other local means). A receipt is sent to you by email.
- Automatic renewal. If you tick the box provided at the time of card payment, you authorize your card to be saved with our payment provider (Stripe) and charged, the day before the due date, the same amount as the previous period (adjusted for the number of users and taxes). We send you a notice about three days before the charge. You can turn off automatic renewal at any time in Subscription; your card is then deleted. After three failed payments, automatic renewal is turned off.
- Plan changes. An increase (higher plan or additional users) is billed immediately, pro rata for the remaining period. A decrease takes effect at renewal.
- Refunds. Amounts paid for a period that has begun are non-refundable, except for a billing error on our part or where the law requires it. You can stop renewing at any time; the service remains available until the end of the paid period.
5. Payments you collect from your clients
When you connect Stripe, PayPal or another gateway to collect payments from your clients, the money goes directly to your account with that provider. Exode Immigration Canada is neither a party to the transaction nor responsible for the delivery of your services, refunds, chargebacks, provider fees or the taxes you must collect and remit. Your own terms of sale and refund policy are your responsibility. Manual payment (transfer, Interac, mobile money) is confirmed by you alone.
6. Your content and your clients
- You keep all rights in the content you publish (text, logo, questions, messages, contact lists). You grant us the limited right to host, display and transmit it to operate the service.
- For your clients’ information (name, email, phone, answers), you are the responsible party: you must collect it lawfully, inform your clients, obtain their consent where required (in particular for promotional news, SMS and advertising tracking), and respond to their access or deletion requests. We act on your behalf, as described in the “Roles and data processing” section below and in the privacy policy.
- You are responsible for your professional obligations (for example those of your professional order or regulator, professional secrecy, advertising rules).
- If you enable Google Analytics, Meta Pixel or other tracking tools, you must state this in your own privacy policy. The service displays a consent notice before loading them.
7. Roles and data processing
For your clients’ information (name, email, phone, answers, appointments), you, the account holder (the professional or firm), are responsible for it: you decide why and how it is collected and used. Exode Immigration Canada acts as a processor (service provider): we process this information on your behalf, according to your instructions, to provide the service. For your account information (identity, email, billing), we are the responsible party, as explained in the privacy policy. A data processing agreement is available on request: write to confidentialite@rendezvix.com.
8. Acceptable use
It is forbidden to: use the service in an unlawful, misleading or fraudulent way; send spam or unsolicited messages; publish content that is hateful, harassing, violent, pornographic or that infringes others’ rights; attempt to access accounts or systems without authorization; disrupt or overload the service or circumvent its technical limits; resell or sub-license the service without a written agreement with us; collect people’s information without their consent. Health, child-related and financial services must comply with the laws that apply to them.
9. Messages sent by the service
Emails and SMS sent by Rendezvix (confirmations, reminders, automations, news) are sent in your name and under your responsibility. You must comply with Canada’s Anti-Spam Legislation and the rules that apply to your clients. We may limit or suspend sending in the event of abuse.
10. Integrations and third-party services
Rendezvix can connect to third-party services (Google, Microsoft, Zoom, Stripe, PayPal, Twilio, Slack, HubSpot, Salesforce and others). These services have their own terms and we do not control them. An outage, change or end of a third-party service may limit a feature. You authorize the service to act on your behalf with these third parties within the limits of the permissions you grant, and you may withdraw them at any time.
11. Availability and backups
We make reasonable efforts to keep the service available, but we do not promise that it will be uninterrupted or error-free. Planned or unplanned interruptions may occur. Backup copies may be made, without any guarantee of restoration; keep essential information on your side (you can export your data).
12. Intellectual property
Rendezvix, its code, design and brand belong to Exode Immigration Canada or its licensors. We grant you a non-exclusive, non-transferable and revocable right to use the service for the duration of your account. White labelling, where your plan offers it, does not transfer any right in the service.
13. End of service and data deletion
You may close your account at any time (see the data deletion instructions). We may suspend or close an account that breaches these terms, that presents a risk to the service or to people, or that remains unpaid, after notice where reasonable. On closure, your pages stop being accessible and your data is deleted or anonymized within a reasonable time, except what the law requires us to keep. Request your export before closure.
14. Warranties and limitation of liability
The service is provided “as is” and “as available”, without warranty of fitness for a particular purpose, to the extent permitted by law. To the same extent, Exode Immigration Canada is not liable for indirect, incidental or consequential damages (for example loss of revenue, clients or appointments), nor for those arising from a third-party service, a network outage or your use of the service. Our total liability to you for a single cause is limited to the amounts you paid us for the service in the 12 months preceding the event. This limit and these exclusions do not apply to our intentional or gross fault, nor to bodily or moral injury caused to another (art. 1474 of the Civil Code of Québec), nor to any liability that cannot be limited or excluded by law, including towards a consumer.
15. Indemnification
You hold us harmless from third-party claims arising from your content, your unlawful use of the service or your breach of these terms, to the extent permitted by law.
16. Changes to the terms
We may change these terms. We notify you by email or in the service at least 30 days before a significant change takes effect. If you keep using the service after that date, you accept the new terms; otherwise, you may close your account.
17. Governing law and disputes
These terms are governed by the laws of Québec and the federal laws of Canada applicable therein. The courts of the judicial district of Québec have jurisdiction, subject to the right of a consumer to bring proceedings before the court of their domicile and unless the law imposes another forum. Before any proceedings, write to us: we will try to resolve the problem in good faith.
18. Language
The parties have required that these terms be drafted in French. This English version is provided for information only; in case of discrepancy, the French version prevails.
19. General provisions
If a provision is held invalid, the others continue to apply. Failure to exercise a right is not a waiver. You may not assign your rights without our agreement; we may assign ours as part of a reorganization or sale of the business. These terms and the privacy policy form the entire agreement between us.
